Signature Authority• Question:
Who is authorized to sign contracts for contractors?

• Answer:
Only the "Contractor Principal" is able to sign contracts electronically.
The following corporate officers are considered "senior officers" and therefore possess what the Business Corporation Law terms "apparent authority" to bind the corporation by their signature alone on contracts, without a resolution or other delegation of signature authority:
chairman, president, vice president, executive vice president, senior vice president, assistant vice president, chief executive officer and chief operating officer.
Execution by any other corporate officer--that includes the secretary and the treasurer, unless they are also one of the other representatives of the company listed above, requires a resolution or other document delegating signature authority.
If anyone else signs the contract electronically on behalf of the company, Contract Awards is responsible for ascertaining that the individual has been duly authorized to execute agreements on behalf of the firm. This procedure normally involves having the company mail or fax a resolution or other delegation of signature authority to Contract Awards.
